Terms of Service

This Terms of Service Agreement ("Agreement") is entered into between the owner and operator of the Elanext data analysis platform ("Platform", "Service") ("Elanext", "We", "Our") and the individual or legal entity using the Platform ("User", "You"). By using the Platform, creating an account, making a payment, or otherwise benefiting from the Service, you represent that you have read, understood, and unconditionally accepted all provisions of this Agreement. If you do not accept these terms, you must not use the Platform. If the User is under 18, a parent or legal guardian must accept these terms. Elanext reserves the right to terminate accounts of users under 18 without prior notice.

Elanext is a SaaS (Software as a Service) platform providing AI-powered data cleaning, formatting, analysis, and reporting services for Excel, CSV, and similar data files. The Service is offered in two tiers: (a) Free Tier — all processing happens in the user's browser; no files are transmitted to our servers; (b) Pro Tier — advanced cleaning and analysis features are processed on our servers, including AI-powered sectoral analysis. Elanext exclusively reserves the right to modify the scope of service, update features, revise pricing, or suspend part or all of the service temporarily or permanently without prior notice. No compensation obligation arises from such changes.

You agree to provide accurate, current, and complete information when registering. You are solely responsible for the security of your account. You are obligated to keep your password confidential and must not share it with third parties. All actions taken through your account are deemed to have been performed by you. If you detect unauthorized access, you must contact us immediately. Elanext cannot be held liable for losses resulting from insufficient account security. Elanext reserves the right to suspend or terminate any account without providing any reason and without prior notice.

Pro subscription fees are collected in advance on a monthly or annual basis according to the selected plan. All prices are stated in US Dollars ($) and include applicable taxes. Payment is processed through supported payment methods available on the Platform. Subscriptions automatically renew unless cancelled. Cancellation must be made at least 24 hours before the next billing period; otherwise, charges for the next period will apply. REFUND POLICY: No refunds are issued after the service has been received (after data processing has occurred). If the service cannot be delivered due to a technical error, Elanext will evaluate the situation and make a refund or credit decision at its sole discretion. Due to the nature of digital services, the "right of withdrawal" cannot be exercised under this Agreement.

By using the Platform, you accept the following obligations: • If the files you upload contain personal data belonging to third parties, you represent that you hold the necessary legal basis (explicit consent, contract performance, legitimate interest, etc.) for processing such data. • You will not upload trade secrets, confidential information, or copyrighted content without authorization. • You will use the Platform only for lawful purposes and within the scope of this Agreement. • You will not upload malicious code, viruses, worms, or similar malware intended to damage the system. • You will not attempt to reverse-engineer the platform's source code, algorithms, or AI models. • You will not use the services to develop a competing product.

For detailed information on the processing of user data, we recommend reviewing our Privacy Policy. In the Pro tier, uploaded files are temporarily processed on our servers solely for the purpose of providing the service. After processing is complete, uploaded raw files are permanently deleted from our systems within 24 hours. Processed output files are stored in the user account for a maximum of 30 days. Industry-standard TLS encryption and Supabase infrastructure are used. However, Elanext cannot guarantee the absolute security of data transmission over the internet. In the event of a detected data security breach, competent authorities and affected users will be notified within the legally required timeframes.

The User agrees to indemnify, defend, and hold harmless Elanext, its affiliates, directors, and employees from and against any claims, lawsuits, damages, losses, costs, and attorney's fees arising from: (a) breach of any provision of this Agreement; (b) unlawful processing of third parties' personal data in uploaded files; (c) infringement of intellectual property rights; (d) use of the Platform for unlawful purposes; or (e) damages caused to third parties.

All intellectual property rights in the Platform's content, design, source code, AI models, system prompts, brand, logo, trade name, and similar elements belong to Elanext and are protected by Turkish and international intellectual property legislation. Users retain the intellectual property rights to the files they upload and the outputs generated. Elanext reserves the right to use this content anonymously and in aggregate for improving service quality and model training; however, it will never share it with third parties at an individual level.

Elanext cannot be held liable for service interruptions caused by natural disasters, war, terrorism, government decisions, internet infrastructure failures, cyberattacks, outages experienced by third-party service providers (AWS, Vercel, Supabase, Anthropic, etc.), or other events beyond its control. In such cases, the subscription period may be extended; however, no refunds will be issued.

The Platform integrates third-party services such as Anthropic (AI), Supabase (database), Vercel (hosting), and Payoneer (payment). These services have their own privacy policies and terms of use. Elanext is not responsible for the content, availability, security, or privacy practices of third-party services. The content of external links accessed through the Platform does not reflect Elanext's views.

Users may close their accounts at any time. The data Elanext stores is limited to: account information (email, subscription status, token balance) and metadata from past cleaning jobs (date, sector, record count). Uploaded files are never sent to servers in the free tool; in the Pro tier, they are permanently deleted within 24 hours of processing. Within 7 days of an account closure request, account information and job history are permanently deleted. Payment records are retained for 10 years as required by law. Elanext may immediately suspend or terminate an account without prior notice upon detecting breach of the Agreement, illegal use, payment delays, or activities harmful to the platform. No refund of remaining subscription fees is made upon termination.

This Agreement is subject to Turkish law and shall be interpreted in accordance with the laws of the Republic of Turkey. For disputes between the parties, a 30-day negotiation period shall first apply. If no resolution is reached within this period, Ankara Courts and Enforcement Offices shall have exclusive jurisdiction. Consumer Users: Rights under the Turkish Consumer Protection Law are reserved. Consumers may apply to Consumer Arbitration Committees or Consumer Courts.

Elanext reserves the right to unilaterally amend this Agreement. Material changes will be notified to your registered email address at least 15 days before the effective date or announced on the Platform. Continued use of the Platform after a change constitutes acceptance of the new terms.

If any provision of this Agreement is found to be invalid, unenforceable, or unlawful, it shall not affect the validity of other provisions; such provision shall be reinterpreted to the broadest extent permitted by law. Elanext's failure to exercise its rights due to any breach of contract shall not be construed as a waiver of rights with respect to the same or similar future breaches.
